These Terms of Service ("Terms") govern your access to and use of DriveReceipts (the "Service"), operated by DriveReceipts ("we", "us", or "our"). By installing the DriveReceipts Google Workspace Add-on, visiting our website, or using our API, you agree to be bound by these Terms and our Privacy Policy.

1. Description of Service

DriveReceipts is a productivity tool designed to extract receipt and expense details from email attachments and format them into user-owned Google Sheets and Google Drive directories. The Service includes a Gmail add-on, backend parsing API, and related documentation.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have a valid Google account to use the Service. By using DriveReceipts, you represent that you meet these requirements and have authority to bind any organization on whose behalf you use the Service.

3. User Responsibilities & Account Security

  • You are solely responsible for managing permissions and maintaining the security of your Google account, spreadsheets, and Drive folders.
  • You must provide accurate account information and keep your credentials confidential.
  • You agree not to misuse the Service, reverse-engineer our software or API, scrape the Service, or attempt unauthorized access to our infrastructure.
  • You are responsible for reviewing all parsed receipt data before relying on it for tax, accounting, or legal purposes.

4. Acceptable Use

You agree not to use the Service to:

  • Process content you do not have the right to access or store;
  • Transmit malware, spam, or unlawful material;
  • Interfere with or disrupt the Service or other users;
  • Circumvent usage limits, authentication, or billing controls;
  • Violate applicable laws, Google API policies, or third-party terms.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.

5. Subscriptions & Billing

  • Fees: Certain features may require a paid subscription billed on a recurring monthly or annual basis via Stripe.
  • Cancellations: You may cancel your subscription at any time through the customer billing portal. Access remains active until the end of your paid billing period unless otherwise stated.
  • Price changes: We may change subscription pricing with reasonable advance notice. Continued use after the effective date constitutes acceptance.
  • Refunds: Subscriptions are non-refundable except where required by law or granted at our sole discretion.
  • Taxes: Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase.

6. Intellectual Property & User Content

  • Your data: You retain full ownership of all documents, spreadsheets, and files processed through the Service. We claim no ownership over your receipts or financial records.
  • License to operate: You grant us a limited license to process your content solely as needed to provide the Service (for example, parsing an attachment you explicitly submit).
  • Our IP: All software, interfaces, trademarks, documentation, and branding provided by DriveReceipts remain our exclusive property. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.
  • Feedback: If you submit suggestions or feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

7. Third-Party Services

The Service integrates with third parties including Google (Gmail, Drive, Sheets), Stripe (billing), and cloud infrastructure providers. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for third-party services we do not control.

8. Disclaimer of Warranties

  • Bookkeeping disclaimer: DriveReceipts provides automated optical character recognition (OCR) and parsing tools as an administrative aid. It does not constitute formal tax, legal, or accounting advice. You are responsible for reviewing parsed data for accuracy before filing taxes or financial reports.
  • "As-is" service: The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that parsing will be error-free, uninterrupted, or that results will meet your specific bookkeeping or compliance requirements.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DriveReceipts and its operators, affiliates, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities arising from your use of the Service — including data loss, extraction errors, incorrect totals, or service downtime.

Our total liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless DriveReceipts from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

11. Modifications & Termination

We may modify these Terms or suspend or discontinue the Service at any time. We will post updated Terms on this page with a revised "Last updated" date. Material changes may also be communicated by email or in-product notice where appropriate.

Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. You may stop using the Service at any time. We may terminate or suspend your access for violation of these Terms or for operational or legal reasons.

12. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that courts located in Ontario, Canada shall have exclusive jurisdiction over disputes arising from these Terms or the Service, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

13. General

  • Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and DriveReceipts regarding the Service.
  • Severability: If any provision is held invalid, the remaining provisions remain in effect.
  • No waiver: Failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
